Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you and EZTalking Vietnam ("EZTalking AI", "we", "us", "our"), the operator of eztalking.vn and the EZTalking AI learning platform (the "Service"). By creating an account, signing in, submitting the "Get Started" form, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service. If you are accepting these Terms on behalf of an organisation (for example, a school), you represent that you have authority to bind that organisation.

2. Account & Registration

During the current open-beta phase, you can request access by submitting the "Get Started" form on our homepage. You agree to provide accurate, current, and complete information, and to update it so that it remains accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must be at least 13 years old (16 in the EEA) to create an account. Users under the age of majority must have a parent or legal guardian review and accept these Terms.
• You are responsible for safeguarding your password and any API or OAuth tokens issued to you.
• You agree to notify us immediately of any unauthorised use of your account at security@eztalking.vn.
• We may, at our discretion, require identity verification before restoring access to a locked account.

3. User Conduct

You agree not to, and not to permit any other person to:

1. Use the Service for any unlawful purpose, or in violation of any applicable local, state, national, or international law or regulation.
2. Upload or transmit viruses, malware, or any other malicious code, or otherwise attempt to disrupt or compromise the integrity or security of the Service.
3. Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code, models, or underlying ideas of the Service or any part thereof, except to the extent expressly permitted by applicable law.
4. Scrape, crawl, or use automated means to access the Service or extract data, including AI tutor responses, lesson content, or speech-recognition models, without our prior written consent.
5. Use the Service to harass, abuse, defame, or harm another person, or to upload content that is obscene, hateful, or otherwise objectionable.
6. Misrepresent your identity, impersonate any other person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
7. Interfere with or disrupt the Service, its servers, or any networks connected to the Service.

4. Subscription & Fees

When paid plans launch, the following terms will apply unless stated otherwise in an order form:

• Billing cycle. Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select.
• Auto-renewal. Subscriptions auto-renew at the end of each billing period unless cancelled at least 24 hours before the renewal date.
• Free trial. We may offer a free trial. You may cancel at any time during the trial to avoid being charged.
• Refunds. Paid subscriptions are non-refundable except where required by law (for example, the EU 14-day cooling-off period, unless you acknowledge immediate performance).
• Price changes. We may change subscription prices with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new price.
• Taxes. Fees are exclusive of VAT, GST, and any other applicable taxes, which you are responsible for paying.

5. Intellectual Property

The Service, including its software, AI models, lesson content, illustrations, audio, video, design, logos, and trademarks, is and will remain the exclusive property of EZTalking Vietnam and its licensors. The trademarks "EZTalking AI" and "EZTalking" are owned by us. Nothing in these Terms grants you any right, title, or interest in the Service other than a limited, revocable, non-exclusive, non-transferable licence to use it in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works of the Service, in whole or in part, except as expressly permitted by these Terms or by mandatory law.

6. Your Content & Learning Data

You retain ownership of the content you create or upload to the Service ("User Content"), such as your speaking samples, journal entries, and uploaded documents. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, and display your User Content solely for the purpose of operating, developing, and improving the Service. This licence terminates when you delete the relevant User Content or close your account, subject to a reasonable propagation period and to our retention obligations under the Privacy Policy.

We may use anonymised, aggregated learning data (for example, "30% of learners improve their pronunciation score by 20% in two weeks") for research, marketing, and product improvement.

7. Service Changes & Termination

We may, at any time and from time to time, modify or discontinue, temporarily or permanently, the Service or any part of it, with or without notice, including but not limited to releasing new versions, adding or removing features, or imposing usage limits. We will not be liable for any modification, suspension, or interruption of the Service.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including (without limitation) if we believe that you have breached these Terms. Upon termination:

• Your right to use the Service will cease immediately.
• We may delete your account and User Content after a 30-day grace period.
• Provisions of these Terms which by their nature should survive termination will survive, including but not limited to ownership, disclaimers, indemnity, and limitations of liability.

8. Disclaimers & Liability

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, with all faults and without warranty of any kind, whether express, implied, or statutory. We expressly disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, in no event shall EZTalking Vietnam, its officers, directors, employees, agents, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with the Service.

Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the amount you have paid to us in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for fraud, death, or personal injury caused by negligence).

9. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The parties shall first attempt to resolve any dispute through good-faith negotiation for a period of 30 days. If the dispute is not resolved, it shall be submitted to the competent People's Court of Vietnam. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

Nothing in this section limits your right to bring proceedings in your country of residence under mandatory consumer-protection law.

10. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us with respect to the Service.
• Severability. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
• Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets.
• Changes. We may update these Terms from time to time. Material changes will be notified in advance. Continued use after the effective date constitutes acceptance.
